Terms of service

1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your”) and PathTech Staffing LLC (“PathTech,” “we,” “us”), with principal office at 212 N. 2nd St. STE 100, Richmond, KY 40475. By accessing pathtechstaff.com (the “Site”), submitting an application, or otherwise using our services (collectively, the “Services”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or Services.

2. Who may use the Services

You must be at least 18 years old and legally authorized to enter into a binding contract. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

3. Our Services

PathTech provides staffing, recruitment, and related talent-acquisition services including, without limitation: job posting, candidate sourcing, vendor-partner onboarding (via VMSera), contract-to-hire placements, and executive search. Specific commercial engagements with clients and partners are governed by separate written agreements (MSA, SOW, vendor agreement, or candidate placement contract). In the event of a conflict between those agreements and these Terms, the separately-signed agreement controls for that engagement.

4. Account registration and security

To access certain features (candidate dashboard, admin portal, vendor portal) you must register an account. You agree to (a) provide accurate, current, and complete information; (b) maintain the confidentiality of your credentials; (c) accept responsibility for all activities that occur under your account; and (d) notify us immediately of any unauthorized use.

5. Fees, billing, and paid services

Free at present. Most candidate-facing features of the Site are free to use. Paid services (enterprise client subscriptions, premium vendor-partner tiers, priority placements, etc.) may be introduced. When you subscribe to a paid service, the following apply:

  • Pricing. Fees and applicable taxes are stated at the point of purchase or in your order form. Unless stated otherwise, fees are in U.S. dollars and exclusive of taxes.
  • Billing. Subscriptions renew automatically at the end of each billing cycle. You authorize us (and our payment processor) to charge your payment method for recurring fees until you cancel.
  • Cancellation. You may cancel at any time; the cancellation takes effect at the end of the current paid period. No partial refunds except as required by law or expressly stated in your order form.
  • Price changes. We may change subscription fees; changes will apply at the next renewal with at least 30 days’ notice by email. Continued use after the change takes effect constitutes acceptance.
  • Chargebacks. Unjustified chargebacks may result in suspension of your account until the dispute is resolved.
  • Trials. If we offer a free trial, you must cancel before the trial ends to avoid being billed.

6. Candidate submissions and vendor partner submissions

If you submit a resume, profile, or candidate to the platform, you represent and warrant that (a) you have the authority and consent (from the candidate, where applicable) to submit the information; (b) the information is accurate and not misleading; (c) you have complied with all applicable immigration, tax, and employment laws; and (d) the candidate has not been previously submitted to the same opportunity by another source. Duplicate or fraudulent submissions may be rejected and may terminate your account.

7. Acceptable use

You agree not to:

  • use the Services for any unlawful purpose or in violation of any applicable law;
  • scrape, copy, mirror, or reverse-engineer the Site, or aggregate our content for a competing service;
  • upload viruses, malware, or content designed to disrupt our infrastructure;
  • impersonate another person or misrepresent your affiliation with any person or entity;
  • attempt to probe, scan, or bypass authentication, rate limits, or any security mechanism;
  • send unsolicited commercial email to any address obtained via the Services;
  • use automated means (bots, scripts) to interact with the Services without our prior written consent.

8. Intellectual property

All content on the Site — including text, logos, graphics, software, and compilations thereof — is the property of PathTech or its licensors and is protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. No other rights are granted.

You retain ownership of content you upload (e.g. your resume, submitted candidate profiles). By uploading, you grant us a worldwide, royalty-free license to host, store, transmit, and display that content as necessary to provide the Services.

9. Confidentiality

Job requisitions, rate cards, candidate information, and placement details exchanged through the Services are confidential. You agree not to disclose them to any third party except as necessary to perform your obligations, and in any event, to protect them with at least the same degree of care you use for your own confidential information.

10. Equal employment opportunity

PathTech is an equal-opportunity employer. We do not and will not discriminate in employment or placement decisions on the basis of race, color, religion, sex (including pregnancy, gender identity, and sexual orientation), national origin, age, disability, veteran status, genetic information, or any other legally-protected characteristic.

11. Third-party links and services

The Site may contain links to third-party sites or integrate third-party services. We are not responsible for the content, privacy practices, or terms of those third parties. Your use of third-party sites and services is at your own risk.

12. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. Job listings, candidate information, and vendor data are supplied by third parties and may change without notice. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHTECH, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR USE OF OR INABILITY TO USE THE SERVICES; (b) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (c) ANY MATTER OTHERWISE RELATING TO THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (ii) USD $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless PathTech and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorney’s fees) arising out of (a) your breach of these Terms; (b) your use of the Services; (c) your violation of any law or third-party right; or (d) any content you submit.

15. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may terminate by ceasing to use the Services and, for registered accounts, by submitting a deletion request to [email protected]. Sections that by their nature should survive (IP, confidentiality, limitation of liability, indemnity, governing law, dispute resolution) will survive termination.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Madison County, Kentucky, and you consent to the personal jurisdiction of those courts. Each party waives the right to a jury trial.

Before filing any formal proceeding, the parties agree to attempt in good faith to resolve the dispute by written notice and a 30-day negotiation period.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you (e.g. by email or a banner on the Site) at least 14 days before it takes effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms, together with any separately-signed engagement agreement and our Privacy Policy, constitute the entire agreement between you and PathTech regarding the Services. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign freely. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
